These terms and conditions of use (referred to below as “Terms of Use”) are applicable to the website www.panasonicproclub.global (the “Website) and access of any information, documentation, reports and data (“Data/ DATA”) of appliances and/or electronic products manufactured, produced, sold or distributed by Panasonic (collectively “Products”) owned and operated by . Panasonic Appliances Air-Conditioning (M) Sdn. Bhd and its group of companies and subsidiaries and affiliates (collectively referred to as “Panasonic”).
By using our Website, you indicate that you have read and understood the terms and conditions stated herein and that you agree to accept the Terms of Use and to abide by them. If you do not agree to the Terms of Use, please do not access the Website or submit your registration for “Create my Account” to us.
THESE TERMS AND CONDITIONS CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU (OR YOUR COMPANY/ORGANIZATION). BY DOWNLOADING AND AGREEING WITH THIS APPLICATION, YOU AGREE IRREVOCABLY, EXPRESSLY AND UNCONDITIONALLY TO THE FOLLOWING TERMS AND CONDITIONS.IF YOU DO NOT AGREE WITH ANY PROVISIONS OF THE SAME, YOUR ARE REQUIRED TO LEAVE THE APPLICATION AT ONCE AND IMMEDIATELY DISCONTINUE USE OF THE PRODUCTS.
Our Products are not directed to children and we do not knowingly collect Personal Information from children as per age defined by applicable law. If we come to know or become aware that we have collected Personal Information of a child, we will take steps to delete such information from our database as soon as possible and practicable.
The Product/ Website is designed to provide access of any information, documentation, reports, data of appliances, electronic products manufactured, produced, sold or distributed by Panasonic. You agree that by registering on the Website and post due verification and access provided by Panasonic, the DATA is licensed, not sold, to you from Panasonic, subject to you agreeing to and wishing to be bound by the terms of this End User License Agreement (the “Agreement”). Panasonic reserves all rights in and to the DATA.
Scope of License/ Access Rights
This license/ right to access granted to you for the DATA by the Panasonic is limited to a non-exclusive, non-sub-licensable, non-transferable, revocable license to use the DATA. You shall not distribute or make the DATA available over a network where it could be used by multiple devices or systems at the same time. You may not rent, lease, lend, sell, transfer redistribute, or sublicense the DATA and, if you sell your device or system on which the access has been taken to a third party, you must reset your device to factory default or completely remove the DATA from your device or system before doing so. You may not copy, decompile, reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the DATA, any updates, any part, or any derivative works thereof (except as any foregoing restriction is prohibited by applicable law). Any attempt to do so is a violation of the rights of Panasonic. If you breach this restriction, you may be subject to prosecution and damages under applicable laws and practices.
The terms of this license/right to access will govern any upgrades provided by Panasonic that replace and/or supplement the original DATA, unless such upgrade is accompanied by a separate license in which case the terms of that license will govern.
You need to sign up/ register for this DATA, and you agree not to use the Products in a way other than as provided under this Agreement. In the event of misuse, misconduct or non-compliance, Panasonic reserves the right to suspend or stop access to Data/ Products to you.
1. Accessing the Website
1.1 Access to the Website requires a registration as 'User'. In order to use Products, you must have an account with us, that requires verification and granting of access by Panasonic.
1.2 Registration is open only for companies and professionals in the air-conditioning business/industry in Bangladesh including but not limited to the user, Owner, Architect, Consultant, Designer, M&E Contractor, Main Contractor, Installer, Technician, Dealer, Distributor which is subject to change from time to time, at the sole discretion of Panasonic and without any obligation on Panasonic to notify you.
By creating an account, you agree and represent that:
• you accept the terms of this agreement
• all required information you provide is truthful and accurate
• You are 18 years of age or older
• You are capable of entering into a legally binding agreement under the applicable laws of Bangladesh; and
You are responsible for maintaining confidentiality of your password and for any and all use of your account. You are responsible for the content, such as any text, images and other material and information, that you upload or post through Website (your “Content”), and its legality, reliability, and appropriateness. You should only upload or post content that you create or have the right to use and publish. By uploading or posting your Content you give us the right and license to store, reproduce, modify, create derivative works of, publish, distribute, transfer, transmit, publicly display, publicly perform, and use your Content in connection with provision of our Services.
You agree that we can also make your Content available to other users of the Website, who may view and/or use your Content, subject to these terms and conditions. We have the right (but not the obligation) to review any or all portions of your Content and delete (or modify) any of your Content from our Services for any reason, which includes but not limited to, if we believe, in our sole judgment, your Content violates these terms and conditions, or that we believe your Content threatens the safety of, or harms any other person, or creates liability for us or any other person. We reserve the right (but have no obligation) to investigate and take appropriate action, including removing your Content from our Services (or modifying it), suspending or terminating your account and/or suspending or terminating the provision of our Services to you, and/or reporting you to law enforcement authorities, if you violate any provision of these terms. In order to cooperate with governmental requests, subpoenas or court orders, to protect our systems, service providers, partners, and other users, or to ensure the integrity and operation of our business and systems, we may access and disclose any information or content we consider necessary or appropriate, including your account information (i.e. name, e-mail address, etc.), IP address and traffic information, usage history, your Content, and your conduct.
1.3 The registration requires:

c. Company Number
d. Panasonic Customer Reference
e. Business Address
f. Business Phone Number
g. Business Fax Number
h. Business Email Address, and
g. Contact details
After registration, the data will be checked for completeness and apparent correctness. In case there are no apparent errors and if you meet the Criteria, the registration will normally be accepted without undue delay and a user account will be opened for the User. Panasonic will inform the User via email about the status of the registration.
1.4 You hereby certify that the information given is true, accurate, current and complete. Any misrepresentation, falsification or omission herein shall be sufficient grounds for suspension/termination provided in Clause 6 below.
1.5 You agree to notify Panasonic immediately of any changes which are relevant to your registration by sending an email to info.bd@panasonicproclub.global
1.6 Panasonic reserves the right to refuse your registration as a User or to terminate or suspend User's account at our discretion, including but not limited to situations where in our opinion details are not correct, current, authentic or complete, or if in our opinion such action would be appropriate (including where it suspects the registration of multiple accounts/User profiles by the same individual).
1.7 If the Website features a function, which allows the User to upload a User profile, Panasonic does not check the profile regularly beyond the first examination at registration. Panasonic does not warrant the correctness and completeness of Users’ profiles.
2. Passwords and Account details
Each User will be asked to provide its business email address and create its own password, at the “Create your personal account” site. The password shall be registered with the business email address. The User is responsible for maintaining the confidentiality of his or her password, and other details (if any) and for all activities under User's account. Any unauthorized use of User's account or other breach of security should be reported to Panasonic immediately. User's registration and/or subscription is personal. It may not be disclosed or made available to others. Each User shall use the care of an orderly and prudent businessman to secure that no third persons will access its user account. Access by the User's employees and other personnel under the User's control are permitted, and in that case, however, the User shall be solely responsible for any misuse or mishandling of the account, if there is any.
3. Website
3.1 The content and other information appearing on the Website are provided on 'AS IS' basis. Panasonic makes no representation and warranty, either expressly or impliedly, as to the accuracy, usefulness, or certainty of any of the content or other information appearing on the Website. Panasonic specifically disclaims any liability or responsibility to the fullest extent permissible by law for any errors or omissions in the content on the Website. Neither Panasonic nor other party involved in creating, producing, or delivering the Website is liable for any direct, incidental, consequential, indirect, or punitive damages arising out of your access to, or use of, or inability to use or access, the Website.
3.2 The contents are only available within the technical and operating capabilities of Panasonic. Panasonic strives to secure the Website's availability without interruption, however, Panasonic reserves the right to modify, change or discontinue any or all elements of the Website, including its structure, usage conditions, URL, and content or other information without prior notice especially for technical or operational reasons. By using the Website, you agree in advance to accept any such changes.
3.3 Users are not allowed to collect, store, distribute and use personal data of other Users of the Website, unless otherwise specified herein or consented by the other Users and Panasonic.
3.4 Users are required to use the content of the Website properly at all times for lawful purposes and in a manner that does not violate the rights, inhibit of or restrict the use of this Website by other Users or third parties.
3.5 Where Users log on in order to gain access to the Website or a part of it, where Panasonic provides a 'log-off', 'exit' (or similar) option, Users undertake to log off and exit from their account at the end of each session. Panasonic reserves the right to log off Users whose accounts are inactive for an extended period of time.
4. Intellectual Property and Utilization Rights
4.1 Contents, such as data, text, photographs, images, videos, software, trademarks, logos and product names or other materials on the Website are the Intellectual Property of and/or licensed to Panasonic.
4.2 Panasonic grants to Users a free of charge, non-exclusive and non-transferable right to use the content for its own business purposes only without the right to modify, remove or alter the materials in any way, nor delete or change any copyright or trademark notice. Users may download and have contents be shown on their computer screens for instant use and printing. Users receive a restricted and limited right of use of such content. Users may neither copy, distribute, publish, exhibit, show, broadcast, make publically available nor reproduce content, unless explicitly provided otherwise. Some of the content may require a separate agreement, which Users will be asked to agree to before use.
4.3 Upon suspension or termination of the use of the Website, Users must end any use of the contents of the Website, unless a separate agreement was entered into for the use of such content or content was downloaded and printed in accordance with Clause 4.2 above.
5. Uploading content or material to the Website
5.1 If and whenever you make use of a feature that allows you to upload material or post content to the Website, such material or content must not be illegal, offensive, harmful, abusive or vulgar, indecent, defamatory, obscene or menacing, or in breach of copyright, trademark, patent, confidentiality, trade secret or any other proprietary rights, or is otherwise injurious to third parties, or objectionable, or which consists of or contains software viruses or harmful component, political campaigning, commercial solicitation, chain letters, mass mailings or any 'spam' or conduct that would constitute a civil or criminal offence or violates any local, state, national or international law. 5.2 Any material you upload to our Website will be considered non-confidential and non-proprietary, and Panasonic has the right to use, copy, distribute and disclose to third parties any such material for any purpose. Panasonic also have the right to disclose your identity to any third party who is claiming that any material posted or uploaded by you to the Website constitutes a violation of their intellectual property rights, or of their right to privacy.
5.3 Panasonic will not be responsible, or liable to any third party, for the content or accuracy of any materials posted by you or any other Users of the Website.
5.4 Panasonic has the right to remove any material or posting which you make on the Website if, in Panasonic's opinion, such material does not comply with the content standards set out in clause 5.1 above or is in breach, in any way, with the provisions of this Terms of Use.
6. Suspension of access rights
If Panasonic has reason to believe that User does not comply with any of the provisions in these Terms of Use or is in breach of other legal provisions in connection with the Website, Panasonic may suspend or terminate the User's access to the Website. Panasonic will inform the User via Email about the suspension or termination and the reasons thereto.
7. Liabilities
7.1 Contents on the Website are provided free of charge. Panasonic does not assume any liability for its conduct and excludes all liability to the fullest extent permissible under applicable law, unless it is caused intentionally or by gross negligence or in cases of physical harm.
7.2 The contents displayed on our website is provided without any guarantees, conditions or warranties as to its accuracy. Due to the constant evolution of our products, information on this Website may contain technical inaccuracies or typographical errors. Information may be changed or updated without notice. Panasonic may also make improvements and/or changes in the products and/or programs described in this information at any time without notice.
7.3 Though Panasonic endeavors to ensure that the Website is normally available 24 hours a day, Panasonic shall not be liable if for any reason our Website is unavailable at any time or for any period. From time to time, the access to our Website may be suspended temporarily and without notice.
7.4 You expressly acknowledge and agree that the use of the products is at your own risk and that the entire risk as to the satisfactory quality, performance, accuracy, and effort lies solely with you. The licensor does not warrant against interference with your enjoyment of products, that the functions contained in or services performed or provided by the products will meet your requirements that the operation of the products will be uninterrupted or error-free, or that defects in the licensed application or services will be corrected. No oral or written information or advice given by the licensor or its authorized representative shall create a warranty by Panasonic. Should the licensed application or services prove defective, you assume the entire cost of all necessary servicing, repair, or correction..
7.5 In no event shall Panasonic be liable for personal injury or any direct, incidental, special, indirect, or consequential damages whatsoever, including, without limitation, damages for loss of profits, loss of data, business interruption, or any other commercial damages or losses, arising out of or related to your use or inability to use the licensed application, however caused, regardless of the theory of liability.
7.6 As the Products continue to evolve, Panasonic at its sole discretion, may modify the terms and conditions of this Agreement from time to time by providing you with such modified terms and conditions of this Agreement, with or without prior notice.. By using the Products after such providing, you agree to such modified terms and conditions of this Agreement. If you don’t agree to be bound by the modified terms then you may no longer use the Products and unsubscribe immediately.
Your agreement with this terms and condition of use shall be deemed as your voluntary, unconditional and explicit consent to the security procedures adopted by us to protect your personal information and our privacy policies concerning the manner in which we deal with your personal information and you hereby give consent to Panasonic to use your personal data for the purpose ascribed in this terms and conditions of use and the privacy policy of Panasonic.
8. Confidentiality of Communications
Except as required by law and in accordance with Panasonic’s Privacy Policy, if you send any communications or materials to the Website by electronic mail or otherwise, including any data, questions, comments, suggestions, or the like, all such communications are, and will be treated as, non-confidential and non-proprietary. 16. General Prohibitions
You agree not to do any of the following:

- Use the Product to track the location of, or collect any information capable of identifying a person from, any other person without their express and voluntary permission;
- Intercept or " attempt to reverse engineer the Products/ Website or;
- Access, tamper with, or use non-public areas of the services, Products, Website computer systems, or the technical delivery systems;
- Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Services;
